Terms of Service
Last updated October 12, 2026
Agreement
These terms are an agreement between Moss, LLC (“PrepRep”) and the organization that subscribes (“Customer”). By subscribing or using PrepRep, Customer agrees to these terms. If Customer has a separate signed agreement with PrepRep, such as an Enterprise agreement, that agreement controls where it differs from these terms.
The service
PrepRep provides prospect research, report and audio-spot tools for sales teams. We may improve or change features over time, and will give reasonable notice before removing a core feature.
Accounts and seats
Each seat is for one named user. Customer is responsible for its users, for keeping sign-in details secure, and for removing users who no longer need access. Seats may not be shared.
Plans, billing and prospect allowances
Subscriptions are billed monthly in advance, per seat, at the price of the selected plan, and renew automatically each month until Customer cancels. Every plan requires a minimum of four (4) seats.
Each plan includes a monthly prospect allowance per seat. On the Pro plan, the team's total allowance may be divided among users by Customer's account admin or managers. A prospect is one business researched with PrepRep in a calendar month, and each prospect includes 1 NeedMeter, 1 BrandScan and 3 SpotBot runs that month (each SpotBot run produces two spots). Unused allowance does not carry over.
When an allowance is used up, research on new businesses pauses until the next month or until Customer upgrades or adds seats. Plan and seat changes take effect immediately and are prorated.
Payments are processed by Stripe. Prices exclude applicable taxes. We'll give account admins at least 30 days' notice by email before a price change takes effect for an existing subscription.
Fees are non-refundable. When Customer cancels, there are no refunds or credits for the rest of the paid month.
Cancellation and suspension
Customer may cancel at any time from the billing page. Access continues until the end of the paid period.
If an invoice goes unpaid, we may suspend the account after 5 days' notice. We may also suspend or end access for serious or repeated violations of these terms.
After a subscription ends, Customer's data is kept for 120 days so the account can be reactivated, then deleted. Customer may ask us to delete it sooner.
Acceptable use
Customer won't misuse the service, including attempting to access other customers' data, reselling access, scraping the platform, or using generated content in a way that is unlawful, deceptive or infringes others' rights.
Generated content
Reports, summaries and audio spots are generated with automated tools, including AI, and may contain errors. Customer should review generated content before relying on it or sharing it.
Customer may use generated reports and spots in its sales and advertising activities, including airing spots. Customer is responsible for getting the advertiser's approval before a spot that names its business is aired or published, and for following applicable broadcast and advertising rules.
Customer data
Customer owns the data it adds to PrepRep. We use it only to provide and improve the service, as described in our Privacy Policy.
Disclaimers
PrepRep is provided “as is” and “as available.”
PrepRep passes through data from third-party sources, including search volume, rankings, business listings, reviews and ad activity. This data consists of estimates that PrepRep doesn't control, and PrepRep can't guarantee that it is accurate, complete or current.
Reports, summaries, scripts and audio spots are generated with automated tools, including AI, and may contain errors, including in pronunciation. PrepRep doesn't guarantee any particular business result, such as appointments, sales or revenue.
To the fullest extent permitted by law, PrepRep disclaims all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.
Limitation of liability
To the fullest extent permitted by law, neither party will be liable to the other for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if it was advised of the possibility of those damages.
Each party's total liability arising out of or relating to these terms or the service is limited to the fees Customer paid to PrepRep in the six (6) months before the event giving rise to the claim.
These limits don't apply to Customer's obligation to pay fees, either party's indemnification obligations, a party's gross negligence or willful misconduct, or Customer's breach of the Acceptable use section.
Indemnification
Customer will defend and indemnify PrepRep against third-party claims arising from content Customer adds to PrepRep; spots or reports Customer airs, publishes or shares, including claims that an advertiser didn't approve them or that they violate broadcast or advertising rules; and Customer's violation of these terms.
PrepRep will defend and indemnify Customer against third-party claims that the PrepRep service, as provided by PrepRep, infringes a U.S. patent, copyright or trademark, except claims arising from Customer's content, inputs or changes.
A party seeking indemnification must promptly notify the other party, let it control the defense and any settlement, and reasonably cooperate.
Governing law
These terms are governed by the laws of the State of Illinois, without regard to conflict-of-law rules.
